Duty of loyalty of an SARL manager and a competing company — Cass. com., 17 June 2026, No. 25-13.855 — The duty of loyalty and fidelity owed by the manager of a limited liability company (SARL) prohibits them, as a matter of principle and independently of any act of unfair competition, from setting up a competing company while holding office; the mere creation of that company is sufficient to establish the breach.
